This TOS agreement does not govern your use of any third-party services, applications, or websites that may be integrated with our services. Such third-party services are subject to their own terms of service, privacy policies, and other agreements, and you are solely responsible for reviewing and complying with those terms.
Nize Systems reserves the right to modify or discontinue our services, or any part of our services, at any time and without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of our services.
This TOS agreement may be amended or modified by Nize Systems at any time, without prior notice to you. The most current version of this agreement will be posted on our website and will supersede any previous versions. Your continued use of our services after any modifications to this TOS agreement constitutes your acceptance of the modified terms.
Your Use of the Nize Systems Services
You may only use the Nize Systems services for lawful purposes and in accordance with this TOS agreement. You are responsible for ensuring that your use of our services complies with all applicable laws, rules, and regulations. You may not use our services in any way that: Infringes any intellectual property rights or other proprietary rights of Nize Systems or any third party. Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable. Violates any applicable law, rule, or regulation. Interferes with or disrupts the operation of our services or the servers or networks used to make our services available. Attempts to gain unauthorized access to our services or any other user's account or data. You may not use our services to: Impersonate any person or entity. Upload, post, or otherwise transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable. Engage in any conduct that restricts or inhibits any other user from using or enjoying our services. Nize Systems reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this TOS agreement, including without limitation, terminating your access to our services.
User Accounts and Registration
To access certain features of our services, you may be required to register for a user account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account information, including your username and password. You agree to immediately notify Nize Systems of any unauthorized use of your account or any other breach of security. You may not use another user's account without their permission. You are solely responsible for any and all activities that occur under your account. Nize Systems reserves the right to suspend or terminate your account and refuse any and all current or future use of our services for any reason at any time.
Payment and Fees
Some of our services may require payment of fees. If you choose to use these services, you agree to pay all applicable fees and taxes in a timely manner. Failure to pay these fees may result in suspension or termination of your access to these services. All fees are non-refundable, unless otherwise stated in writing by Nize Systems. If you dispute any charges, you must notify us in writing within thirty (30) days of the date of the charge. Nize Systems reserves the right to change our fees at any time. Any changes to our fees will be posted on our website and will be effective immediately upon posting.
Content Ownership and Intellectual Property Rights
Nize Systems retains all rights, title, and interest in and to our services, including all content provided through our services, and all intellectual property rights therein. All content provided through our services, including but not limited to text, graphics, logos, images, and software, is the property of Nize Systems or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not use our content except as expressly authorized by Nize Systems or its licensors. You may not copy, modify, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from our services.
Limitations of Liability
Nize Systems and its affiliates, officers, directors, employees, agents, and licensors will not be liable for any damages of any kind arising from the use of our services or from any information, content, materials, products or services included on or otherwise made available to you through our services. To the maximum extent permitted by applicable law, Nize Systems and its affiliates, officers, directors, employees, agents, and licensors disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. In no event shall Nize Systems or its affiliates, officers, directors, employees, agents, and licensors be liable for any indirect, punitive, incidental, special, or consequential damages arising out of or in any way connected with the use of our services, whether based on contract, tort, strict liability, or otherwise.
Indemnification
You agree to indemnify, defend, and hold harmless Nize Systems and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or in connection with your use of our services or any breach of these terms of service.
Termination
Nize Systems may terminate your access to our services at any time and for any reason without notice, including without limitation, if you breach these terms of service. Upon termination, you must immediately cease all use of our services and any content obtained from our services.
Governing Law and Dispute Resolution
These terms of service shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. Any dispute, controversy, or claim arising out of or relating to these terms of service, or the breach, termination, or invalidity thereof, shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in Pleasanton, California, and the language of the arbitration shall be English. The arbitration award shall be final and binding, and may be entered as a judgment in any court of competent jurisdiction.
Miscellaneous
These terms of service, together with our privacy policy, constitute the entire agreement between you and Nize Systems regarding the use of our services. If any provision of these terms of service is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these terms of service shall not be deemed a waiver of such right or provision. You may not assign or transfer these terms of service, by operation of law or otherwise, without Nize Systems' prior written consent. Nize Systems may assign or transfer these terms of service, at its sole discretion, without restriction.
